Welcome to USAS NATURAL AND HERBAL PRODUCTS PVT LTD. By submitting your application and joining as an Independent Distributor, you agree to be bound by the following Terms and Conditions, the Company’s Policies and Procedures, and the Compensation Plan (collectively referred to as the "Agreement").
1. Appointment and Independent Contractor Status
- Independent Status: You are appointed as an Independent Distributor (or Independent Business Owner). You are an independent contractor and not an employee, agent, partner, or legal representative of the Company.
- Control of Business: You have the sole right to determine your hours, methods, and location of operation, subject to the rules outlined in this Agreement.
- Expenses and Taxes: You are entirely responsible for all business expenses incurred in operating your business. You are responsible for paying all applicable local, state, and federal taxes (including GST/Income Tax) on any income earned through the Compensation Plan.
2. Eligibility and Enrollment
- Age Requirement: You must be of legal age (at least 18 years old or the age of majority in your jurisdiction) and legally competent to enter into a binding contract.
- Accurate Information: You agree to provide accurate, complete, and truthful information during the registration process. Any misrepresentation may result in immediate termination.
- Right of Refusal: The Company reserves the right to accept or reject any application for enrollment at its sole discretion without assigning any reason.
3. Product Sales and the Compensation Plan
- Product Purchases: No purchase of Company products or services is required to become a distributor. Any purchases made should be based on personal consumption or realistic resale potential.
- Earning Guarantees: You acknowledge that there are no guarantees of financial success. Income earned under the Compensation Plan is strictly dependent on your personal sales performance, the sales performance of your downline team, and your individual effort.
- No Inventory Loading: Distributors are prohibited from purchasing excessive inventory solely for the purpose of qualifying for bonuses or advancing in the rank system.
4. Advertising, Branding, and Marketing
- Trademarks and Logos: The Company’s name, logos, trademarks, and product names are the exclusive intellectual property of the Company. You may not use these trademarks in any advertising, websites, or social media handles without prior written approval.
- Approved Materials: You agree to use only the official marketing materials, product claims, and literature provided or approved by the Company.
- No Income Claims: You are strictly prohibited from making false, misleading, or exaggerated claims regarding potential earnings. Any income testimonials must include the Company’s official Income Disclosure Statement.
- Medical/Product Claims: You must not make any claims that the products cure, treat, or prevent any medical condition or disease.
5. Cross-Sponsoring and Poaching
- Line Switching: Cross-sponsoring (moving an existing distributor from one line of sponsorship to another) is strictly prohibited.
- Non-Solicitation: During the term of this Agreement you agree not to solicit or recruit any Company distributor or customer to join any other direct selling, network marketing, or multi-level marketing company.
6. Return, Refund, and Buy-Back Policy
- Cooling-Off Period: New distributors have a cooling-off period of [e.g., 7 days] from the date of enrollment to cancel their agreement and receive a full refund for any unused, marketable starter kits or inventory purchased.
- Termination for Cause: The Company reserves the right to suspend or terminate your distributor status immediately if you breach any term of this Agreement, violate the Policies and Procedures, or engage in conduct that damages the reputation of the Company.
- Effect of Termination: Upon termination, you lose all rights to market Company products, lose your position in the organization, and forfeit all future commissions, bonuses, or rewards.
7. Limitation of Liability and Indemnification
- Limitation of Liability: To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits) arising out of or in connection with this Agreement.
- Indemnification: You agree to indemnify and hold harmless the Company, its directors, officers, and employees from any claims, damages, or liabilities arising out of your negligence, misrepresentation, or breach of this Agreement.
8. Dispute Resolution and Governing Law
- Governing Law: This Agreement shall be governed by, construed, and enforced in accordance with the laws of HIMACHAL PRADESH/INDIA / New Delhi jurisdictions.
- Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the arbitration rules of PALAMPUR, HIMACHAL PRADESH. The decision of the arbitrator shall be final and binding.
9. Amendments
- The Company reserves the right to amend, modify, or change the Terms and Conditions, Policies and Procedures, product prices, and the Compensation Plan at its sole discretion. Notice of any amendments will be published on the official Company website or back office, and continued participation after such notice constitutes acceptance of the changes.
